Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the EdQuantify website at edquantify.com (the “Site”), operated by EdQuantify, Inc. (“EdQuantify,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Use of our platform is governed by a separate agreement. These Terms cover the public Site only. If your organization subscribes to the EdQuantify platform, that access is governed by the separate written agreement entered into between EdQuantify and your organization, which is provided during onboarding. Where that agreement and these Terms differ with respect to the platform, that agreement controls.

1. About EdQuantify

EdQuantify provides a governed data platform that helps an organization resolve and unify records held across the business systems it already runs, so that those records can be trusted and used. The Site describes our products and lets you contact us, request a demo, or subscribe to updates. The Site is intended for businesses, not for personal or household use, and is not directed to children.

2. Using the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• use the Site in any way that violates applicable law or regulation;
• attempt to gain unauthorized access to the Site, other users’ accounts, or our systems;
• probe, scan, reverse-engineer, or interfere with the Site or any associated infrastructure, or circumvent any security or access controls;
• use any automated means to access the Site or collect information from it outside of interfaces we provide, or place an unreasonable load on our systems; or
• submit false or misleading information, or impersonate any person or entity.

3. Accounts

Some features may require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, and you must notify us promptly of any unauthorized use. You represent that any information you provide is accurate. If you use the Site on behalf of an organization, you represent that you are authorized to do so. We may suspend or terminate access that violates these Terms or that we reasonably believe is harmful or abusive.

4. Information You Submit

If you submit information through the Site — for example, through a contact, demo-request, or subscription form — you agree it is accurate and that we may use it to respond to you and operate the Site, as described in our Privacy Policy. We do not sell your information.

5. Optional Third-Party Connections

Our platform can optionally connect to certain third-party services that a customer chooses to authorize, using those services’ official interfaces and only the access the customer grants. These connections are optional and are not required to use the platform. We are not responsible for third-party services, or for changes, outages, or availability issues on them, and your use of any third-party service is subject to that service’s own terms.

6. Intellectual Property

The Site and its content — including text, graphics, logos, and design — are owned by EdQuantify or its licensors and are protected by intellectual-property laws. “EdQuantify” and our logo are our trademarks. We grant you a limited, non-exclusive, non-transferable, revocable license to view and use the Site for its intended purpose. You may not copy, modify, distribute, or create derivative works from the Site or its content without our prior written permission, except as permitted by these Terms or applicable law.

7. Disclaimers

The Site is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any content on it is accurate or complete. The Site may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8. Limitation of Liability

To the maximum extent permitted by law, EdQuantify will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, use, or goodwill, arising out of or related to your use of the Site, whether based in contract, tort, or any other legal theory. To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Site will not exceed one hundred U.S. dollars (USD 100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless EdQuantify and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Site or your violation of these Terms or applicable law.

10. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms. You may stop using the Site at any time. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will remain in effect.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction and venue there.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the “Last updated” date above. Your continued use of the Site after an update means you accept the revised Terms.
